This User Agreement ("Agreement") is a legally binding contract between you and the operators of Panthera S.E.M.S ("Panthera", "we", "us"). By creating an account, installing the PWA, or otherwise using the service, you agree to this Agreement in full. If you do not agree, do not use the service.

Panthera is a zero-knowledge, zero-recovery end-to-end encrypted messenger. The service is provided "as is" and "as available", with no warranty of any kind and with zero reliability in the sense that we make no availability, suitability, or fitness commitments whatsoever.

You are solely responsible for creating, memorising, and safeguarding your password. We do not know it, cannot recover it, cannot reset it, and cannot bypass it. There is no "forgot password" flow, no support override, no key escrow, and no backdoor.

If you lose or forget your password, or lose the device that holds your local key material, your account and all associated data become permanently unrecoverable.You accept this outcome as a condition of using the service.

• Keep your password secret and back it up outside the service in whatever manner you consider secure.
• Physically secure the device on which Panthera is installed and configure the auto-lock timer to match your threat model.
• Verify the identity of every peer using the in-app fingerprint or QR verification flow before treating a session as trusted.
• Comply with all laws applicable to you in your jurisdiction.

You agree not to use the service to: (a) commit or facilitate criminal acts under applicable law; (b) transmit content that you do not have the right to transmit; (c) attempt to attack, degrade, or overwhelm the service or the underlying infrastructure; (d) attempt to circumvent the cryptographic guarantees of the protocol or to impersonate another user's identity keys.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, UNINTERRUPTED OPERATION, ERROR-FREE OPERATION, OR SECURITY. YOU USE THE SERVICE AT YOUR OWN RISK.

We make no representation that the service will meet your requirements, will be available at any particular time or location, will be free of defects or vulnerabilities, or that any defect will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PANTHERA, ITS OPERATORS, CONTRIBUTORS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• loss or unrecoverability of passwords, keys, sessions, messages, attachments, or accounts;
• service interruption, unavailability, or termination;
• data loss, data corruption, or delivery failure;
• unauthorized access to your device or storage by any party;
• any use of, or inability to use, the service;
• any conduct or content of any third party using the service.

Panthera has zero reliability obligations to you. You accept full and sole responsibility for your use of the service and for all outcomes that follow from it, including permanent loss of access to your own data.

Where liability cannot be excluded under applicable law, the aggregate liability of Panthera to you for all claims arising out of or relating to this Agreement or the service is limited to the greater of (a) the amount you have paid us in the 12 months preceding the claim, or (b) EUR 0.

You agree to defend, indemnify, and hold harmless Panthera and its operators from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (i) your use of the service; (ii) your violation of this Agreement; or (iii) your violation of any third-party right, including any intellectual property or privacy right.

You may terminate this Agreement at any time by deleting your account from within the app and uninstalling. We may suspend or terminate your access to the service at any time, for any reason, with or without notice, including to protect the integrity of the service or comply with law.

We may modify, suspend, or discontinue the service, or update this Agreement, at any time. Material changes will be reflected by a new "Effective" date at the top of this page. Continued use of the service after such changes constitutes acceptance.

This Agreement is governed by the laws of the jurisdiction in which the operators of Panthera principally reside, without regard to conflict-of-law rules. If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect and the unenforceable provision shall be reformed only to the extent necessary to make it enforceable.

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Panthera regarding the service and supersedes any prior agreements.
